1. INTRODUCTION
These Vendor Terms and Conditions ("Terms") govern the participation of restaurants, kitchens, and food establishments ("Vendor," "You," or "Your") in the BiryaniHub platform located at biryanihub.co ("Platform"). By completing the vendor registration process and agreeing to these Terms, You enter into a binding legal agreement with BiryaniHub.
PLEASE READ THESE TERMS CAREFULLY BEFORE REGISTERING. BY CLICKING "I AGREE," YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS.
2. VENDOR ELIGIBILITY AND OWNERSHIP VERIFICATION
2.1 Legal Capacity
You represent and warrant that:
- You are 18 years of age or older
- You are legally authorized to enter into binding agreements
- You have the full legal authority to register and represent the restaurant or food establishment on the Platform
2.2 Ownership or Authorized Representation
You confirm that you are either:
- The sole owner or co-owner of the registered restaurant/kitchen; OR
- A duly authorized representative acting on behalf of the owner(s) with written authorization from the owner(s)
If you are a representative and not the owner, you must provide:
- A notarized letter of authorization from the restaurant owner(s)
- Clear identification proving your authority to act on the business's behalf
- Contact information for the primary owner(s)
2.3 Identity Verification Requirement
To complete vendor registration, You must provide valid government-issued identification (passport, driver's license, national ID card, or similar) that clearly displays:
- Your full legal name
- Date of birth
- Valid date range (not expired)
- Clear photograph
3. NAME MATCHING REQUIREMENT
3.1 Legal Name Alignment
You acknowledge and agree that:
- The name provided during registration must exactly match the full legal name displayed on your valid government-issued photo ID
- Middle names, initials, or common variations (e.g., "Robert" vs. "Bob") are not acceptable substitutions
- If your ID shows "John Michael Smith," the registration field must show "John Michael Smith"
3.2 Name Mismatch Protocol
If the name on your submitted ID does not match the registration name:
- BiryaniHub will reject the registration
- You will be notified of the discrepancy
- You may resubmit with a corrected name that matches your ID exactly
- Repeated submission of mismatched information may result in permanent account suspension
3.3 Future Name Changes
If you legally change your name (marriage, deed poll, etc.):
- You must update your profile within 7 days
- Submit updated identification matching the new legal name
- Failure to update may result in account suspension
4. VENDOR ACCOUNT AND REGISTRATION
4.1 Registration Information Accuracy
You warrant that all information provided during registration is:
- Complete and accurate
- Not misleading or fraudulent
- Kept current and updated within 14 days of any changes
4.2 Account Security
You are solely responsible for:
- Maintaining the confidentiality of your login credentials
- All activities conducted through your account
- Immediately notifying BiryaniHub of any unauthorized access or suspected breach
4.3 Single Account Policy
Each restaurant must maintain only one active account on the Platform. Operating multiple accounts for the same restaurant is prohibited and will result in account termination.
5. BUSINESS REGISTRATION AND COMPLIANCE
5.1 Legal Business Status
You confirm that the restaurant/kitchen:
- Is a legally registered business in its jurisdiction
- Holds all required local health permits, food handling licenses, and operating licenses
- Complies with all applicable food safety regulations
- Maintains valid business registration documents
5.2 Documentation
You agree to provide, upon request:
- Valid business registration certificate
- Health inspection clearance or food safety permit
- Tax identification number or equivalent
- Proof of business address
- Any other documentation required by local regulatory authorities
5.3 Compliance with Laws
You agree to:
- Comply with all federal, state, and local food safety laws and regulations
- Maintain proper food handling and hygiene standards
- Display food allergen warnings as required by law
- Comply with labor laws and worker regulations
- Pay all applicable taxes and fees
6. RESTAURANT INFORMATION AND MENU MANAGEMENT
6.1 Accurate Restaurant Details
You agree to provide and maintain accurate information about your restaurant:
- Business name (must match legal registration)
- Operating hours (must be truthful and updated regularly)
- Address and contact information
- Cuisine type and specialties
- Menu items with accurate descriptions and prices
- High-quality photographs of the restaurant and food items
6.2 Menu Content Standards
All menu items must:
- Contain accurate descriptions of ingredients
- Display correct prices
- Clearly identify allergens (nuts, dairy, gluten, shellfish, etc.)
- Mark vegetarian/vegan items clearly
- Specify meat type (chicken, mutton, beef, seafood, etc.)
- Meet minimum quality and freshness standards
6.3 Menu Modifications
You may update your menu at any time. However:
- Prices changes take effect within 1 hour
- Removed items remain visible for 48 hours to fulfill existing orders
- Misleading menu items may be removed by BiryaniHub without notice
6.4 Prohibited Items
Your menu cannot include:
- Expired or spoiled food items
- Items not permitted under applicable food safety laws
- Items misrepresented as something they are not (e.g., "homemade" if mass-produced)
- Dangerous or harmful substances
7. ORDER FULFILLMENT OBLIGATIONS
7.1 Order Acceptance and Fulfillment
You agree to:
- Respond to orders within the specified timeframe
- Fulfill orders with quality ingredients matching menu descriptions
- Maintain quality standards consistent across all orders
- Pack items securely to prevent spillage or contamination during delivery
- Complete orders within the estimated time window
7.2 Kitchen Status Accuracy
You must:
- Accurately represent your kitchen status (Open, Busy, Closed)
- Close your kitchen status when unable to accept orders
- Reopen only when ready to resume service
- Not accept orders while closed
7.3 Order Rejection and Cancellation
You may reject or cancel an order only in the following circumstances:
- Technical error or system malfunction
- Genuine inability to prepare the order (ingredient shortage, equipment failure)
- Customer special requests that cannot be fulfilled
Abuse of cancellation privileges may result in account suspension.
7.4 Delivery and Fulfillment Timing
For orders marked for delivery:
- Provide accurate preparation time estimates
- Have the order ready within ±15 minutes of the stated time
- Ensure food quality is maintained during the preparation window
- Cooperate with delivery partners for timely handoff
8. PHOTOS AND VISUAL CONTENT
8.1 Photo Requirements
- All food and restaurant photos must be original or properly licensed
- No generic stock photos from stock photo websites
- Photos must accurately represent the actual food and restaurant
- High-resolution images (minimum 1080x1080 pixels recommended)
8.2 Intellectual Property Rights
You represent and warrant that:
- You own or have rights to all submitted photos
- Photos do not infringe third-party copyrights
- You grant BiryaniHub a non-exclusive license to display photos on the Platform
- You indemnify BiryaniHub against IP infringement claims
8.3 Photo Removal
BiryaniHub may remove photos that are:
- Misleading or fraudulent
- Not representative of actual food quality
- Infringing on third-party intellectual property
- Violating these Terms
9. PAYMENT TERMS AND COMMISSION
9.1 Commission Structure
You acknowledge that BiryaniHub charges a commission on each completed order as follows:
- Free Listing Tier: Cannot accept online orders (no commission charged)
- Starter Tier: 20% commission per order (payment processing fees additional)

9.2 Payment Processing
- Payment is processed through Stripe or other third-party processors
- Transaction fees and payment processing costs apply

- Result in temporary suspension of your account pending resolution
- Be subject to standard chargeback processing fees ($15 per dispute)
- Result in account termination if fraudulent activity is detected
10. RATINGS, REVIEWS, AND CUSTOMER FEEDBACK
10.1 Rating System
You understand that:
- Customers may rate your restaurant (1-5 stars) and leave written reviews
- Ratings are publicly displayed and affect your visibility on the Platform
- You cannot remove negative reviews you disagree with
- False reviews can be reported and removed by BiryaniHub
10.2 Response to Reviews
You may:
- Respond professionally to customer reviews
- Provide context or corrections if factually incorrect
- Not use responses to solicit review removal or manipulation
- Engage respectfully with all customer feedback
10.3 Prohibited Conduct
You must not:
- Post fake positive reviews of your own restaurant
- Pay customers to post positive reviews
- Threaten or harass customers who leave negative reviews
- Post reviews for competing restaurants
- Manipulate the rating system in any way
Violation of these rules will result in immediate account suspension and possible legal action.
11. DATA AND PRIVACY
11.1 Customer Information
You acknowledge that you will have access to customer:
- Names and phone numbers (for delivery coordination)
- Delivery addresses
- Order history with your restaurant
- Preferences and dietary restrictions
11.2 Data Handling Obligations
You agree to:
- Use customer information only for order fulfillment
- Not share customer data with third parties without consent
- Not use customer data for marketing without explicit permission
- Comply with applicable data protection laws (GDPR, CCPA, etc.)
- Implement reasonable security measures to protect customer data
- Report any data breaches to BiryaniHub within 24 hours
11.3 Prohibited Uses
You must not:
- Contact customers outside the Platform for promotional purposes
- Sell or rent customer information
- Share customer data with unaffiliated businesses
- Use customer data for unauthorized marketing campaigns
12. PROHIBITED CONDUCT
You agree not to:
12.1 Illegal Activities
- Engage in fraud, money laundering, or other illegal activities
- Operate an unlicensed or illegal food business
- Sell counterfeit or stolen goods
- Violate food safety laws or regulations
- Engage in human trafficking or child labor
12.2 Platform Abuse
- Circumvent Platform features or systems
- Use bots or automated tools to manipulate orders or ratings
- Attempt to bypass commission payments
- Create fraudulent customer accounts
- Engage in market manipulation or collusion with other vendors
12.3 Conduct Standards
- Discriminate against customers based on protected characteristics
- Engage in harassment, threats, or abusive behavior
- Post obscene, offensive, or misleading content
- Impersonate other vendors or individuals
- Engage in defamation or libel
12.4 Quality and Safety
- Use expired or spoiled ingredients
- Misrepresent food quality or origin
- Fail to disclose allergens or dietary restrictions
- Serve unsafe or contaminated food
- Violate health and safety regulations
13. LIABILITY AND DISCLAIMERS
13.1 Assumption of Risk
You acknowledge that:
- BiryaniHub is an intermediary platform and does not prepare, cook, or deliver food
- You are solely responsible for food quality, safety, and compliance
- BiryaniHub does not guarantee customer satisfaction
- Technical issues may occasionally prevent order receipt or processing
13.2 Limitation of Liability
To the maximum extent permitted by law:
- BiryaniHub's total liability to You shall not exceed the total commissions paid by You in the 12 months preceding the claim
- BiryaniHub shall not be liable for indirect, incidental, consequential, or punitive damages
- BiryaniHub shall not be liable for:
- Lost profits or revenue
- Business interruption
- Reputational harm
- Third-party claims (except as noted in Section 8.2)
13.3 Indemnification
You agree to indemnify and hold BiryaniHub harmless from any claims, damages, or expenses arising from:
- Your breach of these Terms
- Your violation of applicable laws
- Food poisoning, contamination, or safety incidents
- Customer injuries caused by your food or operations
- Third-party claims related to your restaurant
- Intellectual property infringement by your content
14. SUSPENSION AND TERMINATION
14.1 Causes for Immediate Suspension
BiryaniHub may immediately suspend your account without notice if:
- Food poisoning outbreak linked to your restaurant is reported
- Health and safety violations are discovered
- Fraudulent or illegal activity is detected
- You violate payment obligations
- You engage in harassment or threatening behavior
- You misrepresent information to gain unfair advantage
14.2 Causes for Termination
BiryaniHub may terminate your account (with 7-14 days written notice) if:
- You repeatedly violate these Terms
- Your rating falls below 3.0 stars consistently
- You fail to respond to support communications
- You abandon your account for 30+ days
- Your business license expires or is revoked
- You violate any section of these Terms
14.3 Account Termination Process
Upon termination:
- Your restaurant profile will be hidden from the Platform
- Pending orders will be cancelled and refunded
- Your commissions and payout account will be settled
- You will receive a final invoice and payment summary
- You may appeal the termination within 30 days
14.4 Reapplication After Termination
Vendors whose accounts are terminated for cause may reapply only after:
- 90 days have passed (minimum waiting period)
- Issues causing termination have been resolved
- All outstanding fees and disputes are settled
- BiryaniHub approves reapplication
- A new identity verification is submitted
15. INTELLECTUAL PROPERTY RIGHTS
15.1 BiryaniHub Intellectual Property
You acknowledge that:
- BiryaniHub owns all rights to the Platform, software, and branding
- You are granted a limited, non-exclusive license to use the Platform for vendor purposes
- You may not reproduce, modify, or distribute BiryaniHub materials
15.2 Your Content License
By posting content to the Platform (menus, photos, descriptions), you grant BiryaniHub:
- A worldwide, royalty-free license to display your content
- The right to use your content in marketing and promotional materials
- The right to modify formatting for display purposes (not food descriptions or pricing)
16. MODIFICATIONS TO TERMS
16.1 Right to Change Terms
BiryaniHub reserves the right to modify these Terms at any time. Changes become effective:
- For new vendors: Upon registration
- For existing vendors: 30 days after posting the updated Terms
16.2 Continued Use as Acceptance
If you continue operating your account after the 30-day notice period, you are deemed to have accepted the modified Terms.
16.3 Material Changes
If we make material changes that negatively affect your obligations, we will:
- Provide at least 60 days written notice
- Allow you to terminate without penalty if you disagree
- Highlight the specific changes made
17. DISPUTE RESOLUTION
17.1 Informal Resolution
Before initiating formal proceedings, You agree to:
